OVERTIME OFFICIAL RULES FOR MEMBERS-ONLY CONTESTS

NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN; PROVIDED ANY MEMBERS-ONLY CONTEST (AS DEFINED BELOW) IS ONLY OPEN TO ANY INDIVIDUAL WHO HAS PAID FOR THE APPLICABLE PAID SERVICES. A PURCHASE OR PAYMENT DOES NOT INCREASE THE CHANCES OF WINNING. Each Overtime contest operated through the Paid Services, including without limitation through Overtime's social media portals (each, a “Members-Only Contest”) is sponsored by Overtime Sports, Inc. (“Sponsor”). In addition to these Official Rules for Members-Only Contests, your participation in any Members-Only Contest is subject to the Overtime Terms of Use available through the Services or at https://overtime.tv/terms (“Terms of Use”), the Overtime Privacy Policy, available at https://overtime.tv/privacy (“Privacy Policy”), the terms applicable to the Paid Services, including those set forth in the above (“Guidelines”), and any terms presented to you in the process of entering a contest, including in the Contest Announcement (as defined below). Any capitalized terms not defined in these Official Rules for Members-Only Contests will have the meanings assigned to them in the Terms of Use. The Members-Only Contests are not sponsored, endorsed, administered by, or associated with Apple Inc., Instagram, Inc., Facebook, Inc., TikTok Inc., or its or their subsidiaries or affiliates, any sports leagues, or any athletic associations.

ELIGIBILITY:

Subject to these Official Rules for Members-Only Contests, the Members-Only Contests are open to any individual who (i) has paid for the applicable Paid Services, (ii) is a permanent legal U.S. resident physically residing in the fifty (50) United States of America or the District of Columbia, and (iii) is at least 13 years old as of the date of entry; provided individuals between 13 and 18 years of age may enter the Members-Only Contests only with the permission of a parent or guardian. The following are not eligible to participate in or win the Members-Only Contests: (1) employees of Sponsor and its respective parents, affiliates, subsidiaries, advertising and promotion agencies, and suppliers and any other entity involved in the development or administration of the Members-Only Contests, and their immediate family members or household members, , and (2) any other individuals or parties deemed not eligible under the Terms of Use. Additionally, to the extent the Prize (as defined below) for the Members-Only Contest is apparel, products, or merchandise, high school and National Collegiate Athletic Association athletes (“Athletes”) are not eligible to win such Prize. Notwithstanding the foregoing, Athletes may participate in such Members-Only Contests, and, if an Athlete is the winner of such Members-Only Contests, the winning Athlete will receive a Prize determined in Sponsor's sole discretion that is not apparel, products, or merchandise (e.g., Sponsor may give the winning Athlete a shoutout on Sponsor's social media portal(s)). THE MEMBERS-ONLY CONTESTS ARE VOID WHERE PROHIBITED OR RESTRICTED BY LAW OR WHERE BONDING, REGISTRATION, OR OTHER REQUIREMENTS WOULD BE REQUIRED BUT HAVE NOT BEEN MET, OR WHERE THE METHODS OF ENTRY SET FORTH IN THE CONTEST ANNOUNCEMENT WOULD BE DEEMED CONSIDERATION. ALL APPLICABLE FEDERAL, STATE AND LOCAL LAWS APPLY.

ENTRY PERIOD:

Members-Only Contests will be announced from time to time through the applicable Paid Services, including without limitation through Overtime's social media portals (each, a “Contest Announcement”). You may join the Members-Only Contests while they are live.

HOW TO ENTER AND PLAY:

No purchase or payment is necessary to participate in the Members-Only Contests; provided any Members-Only Contest is only open to any individual who has paid for the applicable Paid Services. Enter the Members-Only Contests by completing each of the steps set forth in the Contest Announcement.

You may enter each Members-Only Contest only once, unless otherwise set forth in the Contest Announcement. You may not enter more times than indicated in these Official Rules for Members-Only Contests or the Contest Announcement, including by using multiple email addresses, identities, IP addresses, or devices (collectively, “Multiple Entries”). Sponsor expressly reserves the right to disqualify any entries that it believes in good faith are (i) Multiple Entries, or (ii) generated by a macro, script, or other automated means (collectively, “Automated Entries”). Multiple Entries and Automated Entries are void.

By using the Paid Services, you agree that your use, and any information provided by you or collected by Sponsor in connection with the Members-Only Contests, are subject to the Privacy Policy, Terms of Use, and Guidelines. Sponsor may use your information in accordance with the Terms of Use, Privacy Policy and/or Guidelines and may share such information with Sponsor's affiliated business entities, service providers, prize providers, marketing and promotional partners and/or business partners. All information submitted to or through the Services becomes the property of Sponsor unless otherwise expressly set forth in writing by Sponsor.

PRIZES:

The winner of each Members-Only Contest will receive a prize determined in Sponsor's sole discretion (the “Prize”).

Decisions of the Sponsor are final and binding with respect to all matters related to the Members-Only Contest. In no event shall the Sponsor be obligated to award any prizes other than the Prize specified in these Official Rules for Members-Only Contests or as otherwise set forth where specific Members-Only Contest rules and terms are provided, including in the Contest Announcement. The Sponsor does not guarantee that the Prize can be made available to the winner. The Prize is not assignable and not transferable and no substitutions, cash or otherwise, are permitted, except at Sponsor's sole discretion. In addition, if the Prize is unable to be fulfilled to the winner due to any applicable law, rule or regulation, or for any other reason, or if the winner cannot claim the Prize for any reason, then Sponsor reserves the right to not award the Prize at all. The winner shall be responsible and liable for all prize-related expenses, including without limitation all federal, state and local taxes on the value of the Prize. To receive a complete list of winners or a copy of the Official Rules for Members-Only Contests, send your request along with a self-addressed stamped envelope to Overtime Sports, Inc., 20 Jay Street, Suite 600, Brooklyn, New York 11201, ATTN: Winners List for the Members-Only Contest.

PRIZE SELECTION:

The winner of the Members-Only Contest will be based on the selection criteria and considerations set forth where specific Members-Only Contest rules and terms are provided, including in the Contest Announcement. In the event of a tie, the winner of the Members-Only Contest will be based on the tie-breaker criteria and considerations set forth where specific Members-Only Contest rules and terms are provided, including in the Contest Announcement.

Cash prize fulfillment will be subject to these Official Rules for Members-Only Contests. Other prize fulfillment may be subject to the terms, conditions and privacy policies of other business entities. For example if another entity sponsors or otherwise provides support for a prize, that entity may require additional steps to redeem such prize.

The Members-Only Contest will be conducted under the supervision of the Sponsor. The decisions of the Sponsor are final and binding in all matters relating to this Members-Only Contest. The winner will be notified by direct messaging or text message within ten (10) days following selection, unless otherwise set forth in the Contest Announcement; provided, however, that Sponsor reserves the right to determine an alternate method and timing of notification. Upon such notification, to cash-out the Prize, the winner must contact Sponsor at vip@itsovertime.com, unless otherwise set forth in the Contest Announcement. Sponsor will request winner's phone number and any other information Sponsor deems necessary to verify winner's identity before a Prize is awarded.

The winner must cash-out the Prize within thirty (30) days after the date of notification of such Prize, unless otherwise set forth in the Contest Announcement. A Members-Only Contest winner's failure to cash-out the Prize within the specified time period will be considered such Members-Only Contest winner's forfeiture of the Prize and Sponsor may, at its option and sole discretion, choose not to award the Prize at all. If an entrant is found to be ineligible, Sponsor may, at its option and sole discretion, choose not to award the Prize at all.

GENERAL CONDITIONS AND RELEASES:

By entering the Members-Only Contest or accepting a Prize, you agree to conform to all federal, state and local laws and regulations. When applicable, the winner may be required to execute and return (and winning may be conditioned upon the winner executing and returning) to Sponsor, within ten (10) business days, an Affidavit of Eligibility and a Liability and Publicity Release drafted by Sponsor to be eligible for the Prize. The winner may be required in Sponsor's sole discretion to complete relevant tax forms as a condition to the delivery of the applicable prize. Winner may also be required to furnish proof of identity, address and birth date in order to receive a Prize.

Unless prohibited by applicable law, your participation in a Members-Only Contest or acceptance of a Prize constitutes your (i) permission to use your name, submissions, photograph, likeness, voice, address (city and state) and testimonials in all media, in perpetuity, in any manner Sponsor deems appropriate for purposes of advertising, publicity and trade without any compensation to you or any review or approval rights, notifications, or permissions; and (ii) consent to disclose your personally identifiable information to third parties (including, without limitation, placing your name/user name on a winner's list or leaderboard). Notwithstanding any rights of publicity, privacy or otherwise (whether or not statutory) anywhere in the world, your participation in a Members-Only Contest or acceptance of a Prize constitutes your authorization to (1) have Sponsor (and its agents, consultants and employees) photograph, record, tape, film and otherwise visually and audiovisually record you, (2) have Sponsor (and its agents, consultants and employees) use, reproduce, disseminate, alter, edit, dub, modify, distort, add to, subtract from, process and otherwise exploit any results of such activity (including without limitation any manner in which such activity may be recorded or remembered or modified) or derivatives or extensions or imitations thereof in any manner that Sponsor sees fit, in any medium or technology known or hereinafter invented, throughout the universe in perpetuity, including without limitation for illustration, art, promotion, advertising, trade or any other purpose whatsoever; and (3) have relinquished any right that you may have to examine or approve the completed product or products or the advertising copy or printed matter that may be used in conjunction therewith or the use to which it may be applied.

An entrant or winner may be disqualified from the Members-Only Contest if he or she fails to comply with each provision of these Official Rules for Members-Only Contests and all other applicable terms and rules for the particular Members-Only Contest, as set forth by Sponsor, as determined in the sole discretion of the Sponsor. Participation in the Members-Only Contest is at entrant's own risk. Sponsor shall not be liable for: (a) failed, returned or misdirected notifications based on inaccurate information provided by the winner in connection with an entry or the winner's spam, junk e-mail or other security settings; (b) entries and responses to winner notifications which are lost, late, incomplete, illegible, unintelligible, postage-due, misdirected, damaged or otherwise not received by the intended recipient in whole or in part or for computer or technical error of any kind; (c) any electronic miscommunications or failures, technical hardware or software failures of any kind, lost or unavailable network connections, or failed incomplete, garbled or delayed computer transmissions which may limit an entrant's ability to participate in the Members-Only Contest; (d) any technical malfunctions of the telephone network, computer on-line system, computer equipment, software, program malfunctions or other failures, delayed computer transactions or network connections that are human, mechanical or technical in nature, or any combination thereof, including any injury or damage to entrant's or any other person's computer or mobile device related to or resulting from downloading or using the Services or otherwise in connection with this Members-Only Contest; or (e) any warranty with respect to any Prize or any component thereof. THE MEMBERS-ONLY CONTEST IS PROVIDED “AS IS” AND SPONSOR DOES NOT MAKE ANY, AND HEREBY DISCLAIMS ANY AND ALL, REPRESENTATIONS OR WARRANTIES OF ANY KIND REGARDING THE MEMBERS-ONLY CONTEST.

NOTWITHSTANDING ANYTHING ELSE HEREIN OR OTHERWISE, SPONSOR SHALL NOT BE LIABLE OR OBLIGATED WITH RESPECT TO ANY SUBJECT MATTER OF THIS AGREEMENT OR UNDER CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER LEGAL OR EQUITABLE THEORY FOR (I) ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF REVENUE, GOODWILL, OR ANTICIPATED PROFITS), (II) AMOUNTS IN EXCESS OF THE PRIZE FOR THE APPLICABLE MEMBERS-ONLY CONTEST, (III) DATA LOSS OR COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, AND/OR (IV) ANY MATTER BEYOND SUCH PARTIES' REASONABLE CONTROL.

By entering the Members-Only Contest, you agree to and hereby do release and hold harmless Sponsor, its respective parents, subsidiaries and affiliated entities, directors, officers, employees, attorneys, agents, and representatives (the “Released Parties”) from any damage, injury, death, loss, claim, action, demand, or other liability (collectively, “Claims”) that may arise from your acceptance, possession and/or use of any Prize or your participation in this Members-Only Contest, or from any misuse or malfunction of any Prize awarded, regardless of whether such Claims, or knowledge of the facts constituting such Claims, exist at the time of entry or arise at any time thereafter, and indemnify each of the Released Parties from any damages arising therefrom. Sponsor expressly reserves the right to disqualify any person attempting to defraud or in any way tamper with this Members-Only Contest, and such person may be prosecuted to the full extent of the law. Sponsor reserves the right to modify these Official Rules for Members-Only Contests in any way and at any time. Sponsor reserves the right, in its sole discretion, to cancel or suspend this Members-Only Contest should viruses, bugs or other causes beyond its control corrupt the administration, security or proper operation of the Members-Only Contest. In the event of cancellation or suspension, Overtime shall use commercially reasonable efforts to promptly post a notice on the Services to such effect. This Members-Only Contest shall be governed by New York law, without regard to conflicts of laws provisions. By participating in this Members-Only Contest, you agree that any dispute or litigation arising from or relating to this Members-Only Contest shall be determined by binding arbitration only in New York, NY, by and under the American Arbitration Association's rules for arbitration of consumer-related disputes, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. Notwithstanding the foregoing, Sponsor may seek equitable relief in any court of competent jurisdiction. If any provision of these rules is held to be illegal or unenforceable, such provision shall be limited or eliminated to the minimum extent necessary so that these rules otherwise remain in full force and effect and enforceable.
